Sienda Ltd — White Label Digital & AI Consulting Services
These White Label Service Terms (“Terms”) govern the provision of white-label digital, AI, consulting, and audit services (“Services”) supplied by Sienda Ltd, a company registered in the United Kingdom, to agencies, consultants, resellers, or partner businesses (“Partner”) who present these Services under their own brand.
By engaging Sienda Ltd as a white-label provider, the Partner agrees to these Terms.
1. Scope of the White Label Service
Sienda Ltd supplies consulting deliverables, AI-driven audits, reports, digital documents, workflows, strategies, prompts, guides, and related materials (“Deliverables”) that the Partner may present, brand, and sell under its own name.
Unless otherwise agreed in writing:
- Deliverables are supplied without Sienda branding
- Deliverables may be presented by the Partner as their own work
- Sienda remains an independent, external, confidential provider
- Sienda does not contact the Partner’s clients directly unless explicitly authorised
Sienda does not provide direct customer support to end clients unless separately contracted.
2. Confidentiality and Non-Disclosure
Confidentiality is fundamental to our white-label work.
Sienda Ltd agrees:
- Not to reveal the Partner’s identity to any third party
- Not to reveal the identity of the Partner’s clients
- Not to disclose engagement details, project details, or deliverables
- Not to share, publish, or reproduce any client information
- Not to list the Partner or the Partner’s client as references
- Not to use project materials as case studies without explicit permission
All information shared by the Partner is treated as strictly confidential and handled under full UK GDPR and EU GDPR compliance.
3. Branding and Intellectual Property
The Partner may apply their own branding, formatting, or visual identity to Deliverables supplied by Sienda, subject to the following:
- Sienda retains intellectual property rights to frameworks, templates, prompts, methodologies, and proprietary AI tools used to generate or support the Deliverables.
- The Partner receives a non-exclusive licence to use the Deliverables for the specific client for whom the Deliverables were produced.
- The Partner may not resell Deliverables as a mass-market digital product unless explicitly allowed in a separate licensing agreement.
- Custom work created for a specific project may only be reused for general business purposes if it does not disclose client-sensitive information.
4. Partner Responsibilities
The Partner is solely responsible for:
- Commercial agreements with their clients
- Setting their own pricing and terms
- Managing their client communications
- Ensuring accuracy of the information provided to Sienda
- Delivering the final branded version of the Deliverables to their clients
- Ensuring their clients understand the nature of the white-label relationship (if disclosed)
Sienda is not responsible for misrepresentation by the Partner or misuse of the Deliverables.
5. Delivery Timeline
Sienda will deliver white-label materials based on the mutually agreed timeline.
The service delivery window begins after Sienda receives the intake information, not after the Partner receives payment from their client.
If the Partner delays in providing information, delivery may be extended.
6. Payment Terms
Unless otherwise specified in writing:
- Payment to Sienda must be made in full before work begins unless prior agreements establish otherwise
- Payments are non-refundable once work has commenced
- If the Partner’s client cancels or requests a refund, this does not affect the fees due to Sienda
- Invoices are payable immediately unless other terms have been agreed
- Late payments may suspend work until resolved
The Partner remains responsible for paying Sienda regardless of their client’s payment status.
7. Client Confidentiality & Data Handling
Sienda will only receive the information necessary to complete the Deliverables.
All client data is:
- stored securely
- accessed only by authorised Sienda personnel
- deleted or anonymised after project completion
- never resold or used for training external AI models
Sienda’s privacy practices comply fully with GDPR.
8. Prohibited Uses
The Partner may not:
- present Sienda Ltd as an internal employee or staff member without explicit agreement
- claim Sienda’s proprietary tools as their own invention
- resell Deliverables in bulk as digital products
- train AI systems on Deliverables without written permission
- misrepresent service capabilities beyond what Sienda can provide
- reverse-engineer or replicate Sienda’s internal AI systems or workflow engines
9. Liability and Limitations
Sienda provides Deliverables based on information provided by the Partner.
Sienda Ltd is not liable for:
- inaccurate or incomplete information supplied by the Partner
- loss of revenue or consequential damages
- misuse or misinterpretation of the Deliverables
- commercial disputes between the Partner and their clients
- promises or guarantees made by the Partner to their clients
Sienda’s total liability for any project is limited to the amount paid by the Partner for that specific project.
10. White Label Support
Sienda may, at its discretion, offer optional support services such as:
- follow-up calls
- implementation guidance
- additional workflows or automation
- revisions or expanded audits
These services may incur additional fees unless included in the plan purchased.
11. Termination
Either party may terminate the white-label relationship for future projects, but all completed or in-progress work remains governed by these Terms.
Payments for work already commenced remain due in full.
12. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be resolved under the jurisdiction of English courts.
